Calstead License Agreement

Plain-English summary

You bought the right to run, modify, and deploy Calstead for your own scheduling – as many deployments as you like, with no recurring fee, plus free updates for as long as we publish them. A Personal license covers one person; a Team license covers up to 25 people in one organization. The license lasts forever unless you break the rules. You may not share the source, publish it, resell it, or offer Calstead to others as a hosted service. If this summary and the full terms below conflict, the terms control.

This License Agreement (the "Agreement") is between you (the "Licensee") and the owner and operator of calstead.com (the "Licensor"), and governs your use of the Calstead software, including its source code, documentation, and any updates you receive (together, the "Software").

You accepted this Agreement at checkout; the version you accepted governs the copies you received under that order. Accessing the private source repository or using the Software also constitutes acceptance.

1. License grant

Subject to your payment of the applicable license fee and your compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable (except as permitted in Section 9), perpetual (subject to termination under Section 6) license to: (a) download, use, and modify the Software; (b) deploy the Software, including your modified versions, on any number of servers or hosting accounts you control and operate for your own use under this license; and (c) receive and use updates to the Software for as long as the Licensor makes them available.

Personal license. The rights above are granted to one individual. A Personal license may be held by an individual directly or through a company they own; in either case it covers exactly one person – the purchaser, unless another individual is named at purchase. The deployed Software may be used to schedule meetings with that individual.

Team license. The rights above are granted to one company or organization. Up to twenty-five (25) people within that organization may operate the deployed Software or be scheduled through it; total organization headcount does not matter. Covered individuals must be employees or individual contractors engaged directly by the organization, and may be replaced as personnel change.

Upgrades. You may upgrade from a Personal to a Team license at any time by paying the then-current price difference. If your use exceeds your license tier, upgrading within thirty (30) days of notice cures the breach; exceeding your tier is not grounds for termination if so cured.

2. Restrictions

You may not: (a) publish, distribute, sublicense, sell, lease, or otherwise make the Software's source code (or any substantial portion of it, modified or not) available to any third party, including by making a public fork, repository, package, or paste; (b) share access to the private source repository, or your copy of it, with anyone outside the scope of your license; (c) offer the Software's functionality to third parties as a hosted, managed, or white-labeled service – that is, operate a deployment whose booking pages schedule meetings with people who are not covered by your license; (d) incorporate the Software's source code into, or use it as a reference implementation for, a software product or hosted service that competes with Calstead (building unrelated software, or scheduling features that do not derive from the Software's code, is not restricted); (e) remove or alter any license, copyright, or attribution notice included in the Software; or (f) deploy, configure, or operate the Software on behalf of any third party, except as permitted in the next paragraph.

For clarity: people who book meetings through your deployment are not licensees and do not need licenses; clause 2(c) restricts who may operate and be scheduled througha deployment, not who may book. If you deploy or manage the Software on a client's behalf, the client must hold its own license covering the people scheduled through that deployment; you may operate that deployment under the client's license without holding one yourself.

3. Ownership; feedback

The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. Your modifications are yours, but they remain subject to this Agreement wherever they incorporate the Software.

If you provide the Licensor with any modifications, patches, suggestions, or feedback, you grant the Licensor a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, distribute, and commercialize them as part of the Software or any Licensor product or service, without compensation or attribution.

4. Updates, support, and repository access

Updates are delivered through the private source repository. The Licensor will make reasonable efforts to maintain the Software but does not promise any particular update cadence or feature.

Support. Support is provided by email at hello@calstead.com for the unmodified Software only, and excludes custom development, installation services, and modified code. Team licensees receive priority support: their requests are answered ahead of other requests, with a target first response within two (2) business days, for as long as the Licensor offers support for the Software.

Repository access. Access is granted to one GitHub account for Personal licenses and up to five (5) GitHub accounts designated by the organization for Team licenses. You may change your designated accounts by emailing hello@calstead.com.

Pre-release code. The repository may include pre-release branches, tags, or experimental code. Pre-release code is provided as-is, may be changed or removed without notice, and is excluded from support.

End of life.The Licensor may discontinue updates and support for the Software with ninety (90) days' notice. If the Licensor discontinues the repository, the then-current source will remain available to active licensees for download for at least ninety (90) days. Discontinuation does not terminate your Section 1 license.

5. Refunds

If the Software does not work out for you, contact hello@calstead.com within 14 days of purchase for a full refund. A refund terminates your license under Section 1 effective upon issuance: you must cease deploying the Software and delete your copies of the source code, and the Licensor may revoke repository access. Sections 2, 3, 7, and 8 survive a refund.

6. Termination

This Agreement terminates immediately, without notice or cure period, upon any breach of Section 2(a) or 2(b). For any other material breach, it terminates if you fail to cure within 14 days of notice (for tier overuse, Section 1's upgrade cure applies). Upon termination, your rights under Section 1 end and you must cease deploying the Software and delete your copies of the source code. Sections 2, 3, 6 (this sentence), 7, 8, and 9 survive termination.

7. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ARE RESPONSIBLE FOR THE DEPLOYMENTS YOU OPERATE, INCLUDING THEIR SECURITY, DATA, AND COMPLIANCE WITH APPLICABLE LAW. Some jurisdictions do not allow certain warranty disclaimers; in those jurisdictions the above applies to the maximum extent permitted.

8. Limitation of liability; indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SOFTWARE. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.

You will defend and indemnify the Licensor against third-party claims arising from your deployments, your modifications, or your use of the Software.

9. General

Governing law and venue. This Agreement is governed by the laws of the State of Missouri, USA, without regard to conflict-of-laws rules. Any dispute arising from this Agreement will be resolved exclusively in the state or federal courts located in Greene County, Missouri, except that (a) either party may bring qualifying claims in small claims court, and (b) either party may seek injunctive relief in any court of competent jurisdiction for breach of Section 2. The UN Convention on Contracts for the International Sale of Goods does not apply.

Changes to this Agreement. The Licensor may modify this Agreement for future updates or versions of the Software by posting the revised Agreement in the repository and at calstead.com with at least 30 days' notice. The revised Agreement applies to updates you receive after its effective date; the terms in effect when you received a copy continue to govern that copy. If you do not accept revised terms, your sole remedy is to stop pulling updates – your existing license is unaffected.

Export. You represent that you are not located in, or ordinarily resident in, any country or region subject to comprehensive U.S. sanctions and are not on any U.S. government restricted-party list, and you agree to comply with applicable export laws.

Publicity. The Licensor may identify Team licensees by name and logo in customer lists and marketing materials. You may opt out at any time by emailing hello@calstead.com, and the Licensor will remove the reference within thirty (30) days.

Miscellaneous.This Agreement is the entire agreement between the parties concerning the Software. If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign this Agreement without the Licensor's written consent, except to a successor of substantially all of your assets who agrees to be bound by it.
